"What's the required standby period for a seller note on an SBA 7(a) deal?"
Under SOP 50 10 v8 (effective June 2025), a seller note used as equity must be on full standby for the entire life of the SBA loan — no principal or interest payments until the 7(a) loan is fully retired. Interest may accrue and is paid off after the SBA loan closes out. A separate rule: a seller note must be current and active (not on standby) for at least 24 months before it can be refinanced into a new SBA loan. These are two different provisions — the standby for equity is the full loan term, not 24 months.
"What multiple should I expect for a $2M revenue HVAC company in the Southeast?"
For HVAC businesses (NAICS 238220) in the $2M revenue range, typical SDE multiples run 2.5–3.5x and EBITDA multiples 4–5.5x. Recurring service contract revenue, owner-independence, and technician tenure are the primary premium drivers. Southeast deals trend slightly below national averages due to market fragmentation.
"What equity injection does the SBA require on a business acquisition?"
Under SOP 50 10 v8, a complete change of ownership requires a minimum 10% equity injection from the buyer based on total project cost. A seller note on full standby for the entire life of the SBA loan can satisfy up to half of that requirement, leaving as little as 5% in cash. Lenders typically layer their own overlay and ask for more, especially from first-time buyers without deep operating experience.
"What DSCR does my lender need to see?"
The SBA floor under SOP 50 10 v8 is 1.15x DSCR (OCF ÷ total debt service). For Peachtree HVAC at your current model assumptions, you're showing 1.42x — comfortably above the SBA minimum. Keep in mind most lenders apply their own overlay of 1.25x or higher, so that's the practical target. If revenue declines 10%, your model projects 1.27x — above both floors, but worth flagging in your lender conversation.
